독립기념관법 제11조(이사회)

① 독립기념관의 업무에 관한 중요 사항을 심의ㆍ의결하기 위하여 독립기념관에 이사회를 둔다.

② 이사회는 의장을 포함한 이사로 구성한다.

(2) The^ð더 board보드 of어^v브 directors더^r렉터즈 shall섈 consist컨시스트 of어^v브 directors,더^r렉터즈 including인클루딩 the^ð더 chair.체어

③ 이사회의 의장은 관장이 되고, 이사회의장이 부득이한 사유로 직무를 수행할 수 없을 때에는 비상임이사 중에서 호선한 선임비상임이사가 그 직무를 대행한다.

(3) The^ð더 chair체어 of어^v브 the^ð더 board보드 of어^v브 directors더^r렉터즈 shall섈 be비 the^ð더 director더^r렉터 general,제너^r럴 and앤드 where웨어 the^ð더 chair체어 is이즈 unable어네이블 to투 perform퍼^f폼 his히즈 or오 her허 duties두티즈 for^f포 unavoidable어너^v보이더블 reasons,^r리즌즈 the^ð더 senior시니어 non-standing난-스탠딩 director더^r렉터 elected일렉티드 by바이 mutual뮤추얼 vote^v보우트 from^f프^r럼 among어멍 the^ð더 non-standing난-스탠딩 directors더^r렉터즈 shall섈 act액트 on안 his히즈 or오 her허 behalf.비해^f프

④ 이사회의 회의는 이사회의장의 요구나 재적이사 3분의 1 이상의 요구로 소집하고, 이사회의장이 그 회의를 주재한다.

(4) Meetings미팅즈 of어^v브 the^ð더 board보드 of어^v브 directors더^r렉터즈 shall섈 be비 convened컨^v빈드 at앳 the^ð더 request^r리퀘스트 of어^v브 the^ð더 chair체어 or오 at앳 the^ð더 request^r리퀘스트 of어^v브 at앳 least리스트 one-third원-^θ써드 of어^v브 the^ð디 incumbent인컴번트 directors,더^r렉터즈 and앤드 the^ð더 chair체어 shall섈 preside프^r리자이드 over오우^v버 the^ð더 meetings.미팅즈

⑤ 이사회는 재적이사 과반수의 찬성으로 의결한다.

(5) The^ð더 board보드 of어^v브 directors더^r렉터즈 shall섈 adopt어답트 resolutions^r레절루션즈 with위^ð드 the^ð더 concurrence컨커^r런스 of어^v브 a어 majority머조^r러티 of어^v브 the^ð디 incumbent인컴번트 directors.더^r렉터즈

⑥ 감사는 이사회에 출석하여 의견을 진술할 수 있다.
