상법 제263조(청산인의 임무종료)

①청산인은 그 임무가 종료한 때에는 지체없이 계산서를 작성하여 각 사원에게 교부하고 그 승인을 얻어야 한다.

②전항의 계산서를 받은 사원이 1월내에 이의를 하지 아니한 때에는 그 계산을 승인한 것으로 본다. 그러나 청산인에게 부정행위가 있는 경우에는 그러하지 아니하다.
