상법 제342조(자기주식의 처분)
Commercial Act, Article 342 (Disposal of Own Shares)
회사가 보유하는 자기의 주식을 처분하는 경우에 다음 각 호의 사항으로서 정관에 규정이 없는 것은 이사회가 결정한다.
Where a company disposes of its own shares that it holds, the board of directors shall determine the following matters, unless they are provided for in the articles of incorporation:
1. 처분할 주식의 종류와 수
1. The class and number of shares to be disposed of;
2. 처분할 주식의 처분가액과 납입기일
2. The disposal price and the payment date of the shares to be disposed of;
3. 주식을 처분할 상대방 및 처분방법
3. The other party to whom the shares are to be disposed of, and the method of disposal.
