상법 제605조(이사, 주주의 순재산액전보책임)

①전조의 조직변경의 경우에 회사에 현존하는 순재산액이 자본금의 총액에 부족하는 때에는 전조제1항의 결의당시의 이사와 주주는 회사에 대하여 연대하여 그 부족액을 지급할 책임이 있다. <개정 2011.4.14>
