Act on Electronic Registration of Stocks and Bonds, Article 2 (Definitions)
이 법에서 사용하는 용어의 뜻은 다음과 같다.
The terms used in this Act are defined as follows:
1. "주식등"이란 다음 각 목의 어느 하나에 해당하는 것을 말한다.
1. "Stocks, etc." means any of the following:
가. 주식
(a) Stocks;
나. 사채(「신탁법」에 따른 신탁사채 및 「자본시장과 금융투자업에 관한 법률」에 따른 조건부자본증권을 포함한다)
(b) Corporate bonds (including trust corporate bonds under the Trust Act and contingent capital securities under the Financial Investment Services and Capital Markets Act);
다. 국채
(c) Government bonds;
라. 지방채
(d) Local government bonds;
마. 법률에 따라 직접 설립된 법인이 발행하는 채무증권에 표시되어야 할 권리
(e) Rights to be indicated on debt securities issued by a corporation directly established by an Act;
바. 신주인수권증서 또는 신주인수권증권에 표시되어야 할 권리
(f) Rights to be indicated on warrants for new shares or certificates of rights to new shares;
사. 「신탁법」에 따른 수익자가 취득하는 수익권(受益權)
(g) Beneficiary rights acquired by a beneficiary under the Trust Act;
아. 「자본시장과 금융투자업에 관한 법률」에 따른 투자신탁의 수익권
(h) Beneficiary rights of an investment trust under the Financial Investment Services and Capital Markets Act;
자. 「이중상환청구권부 채권 발행에 관한 법률」에 따른 이중상환청구권부 채권
(i) Covered bonds under the Act on Issuance of Covered Bonds;
차. 「한국주택금융공사법」에 따른 주택저당증권 또는 학자금대출증권에 표시되어야 할 권리
(j) Rights to be indicated on mortgage-backed securities or student loan-backed securities under the Korea Housing Finance Corporation Act;
카. 「자산유동화에 관한 법률」에 따른 유동화증권에 표시될 수 있거나 표시되어야 할 권리
(k) Rights that may or must be indicated on asset-backed securities under the Asset-Backed Securitization Act;
타. 「자본시장과 금융투자업에 관한 법률」에 따른 파생결합증권에 표시될 수 있거나 표시되어야 할 권리로서 대통령령으로 정하는 권리
(l) Rights prescribed by Presidential Decree that may or must be indicated on derivatives-linked securities under the Financial Investment Services and Capital Markets Act;
파. 「자본시장과 금융투자업에 관한 법률」에 따른 증권예탁증권에 표시될 수 있거나 표시되어야 할 권리로서 대통령령으로 정하는 권리
(m) Rights prescribed by Presidential Decree that may or must be indicated on depositary receipts under the Financial Investment Services and Capital Markets Act;
하. 외국법인등(「자본시장과 금융투자업에 관한 법률」 제9조제16항에 따른 외국법인등을 말한다. 이하 같다)이 국내에서 발행하는 증권(證券) 또는 증서(證書)에 표시될 수 있거나 표시되어야 할 권리로서 가목부터 타목까지의 어느 하나에 해당하는 권리
(n) Rights falling under any of items (a) through (l) that may or must be indicated on securities or certificates issued in Korea by a foreign corporation, etc. (meaning a foreign corporation, etc. under Article 9 (16) of the Financial Investment Services and Capital Markets Act; hereinafter the same);
거. 가목부터 하목까지의 규정에 따른 권리와 비슷한 권리로서 그 권리의 발생ㆍ변경ㆍ소멸이 전자등록계좌부에 전자등록되는 데에 적합한 것으로서 대통령령으로 정하는 권리
(o) Rights similar to the rights under items (a) through (n), prescribed by Presidential Decree as suitable for the creation, change and extinction of the rights to be electronically registered in an electronic registration account book.
2. "전자등록"이란 주식등의 종류, 종목, 금액, 권리자 및 권리 내용 등 주식등에 관한 권리의 발생ㆍ변경ㆍ소멸에 관한 정보를 전자등록계좌부에 전자적 방식으로 기재하는 것을 말한다.
2. "Electronic registration" means electronically entering in an electronic registration account book information on the creation, change and extinction of rights in stocks, etc., such as the type, item, amount, rights holder and contents of rights of the stocks, etc.
3. "전자등록계좌부"란 주식등에 관한 권리의 발생ㆍ변경ㆍ소멸에 대한 정보를 전자적 방식으로 편성한 장부로서 다음 각 목의 장부를 말한다.
3. "Electronic registration account book" means a book in which information on the creation, change and extinction of rights in stocks, etc. is compiled electronically, namely the following books:
가. 제22조제2항에 따라 작성되는 고객계좌부(이하 "고객계좌부"라 한다)
(a) The customer account book prepared under Article 22 (2) (hereinafter referred to as the "customer account book");
나. 제23조제2항에 따라 작성되는 계좌관리기관등 자기계좌부(自己計座簿)(이하 "계좌관리기관등 자기계좌부"라 한다)
(b) The own-account book of account management institutions, etc. prepared under Article 23 (2) (hereinafter referred to as the "own-account book of account management institutions, etc.").
4. "전자등록주식등"이란 전자등록계좌부에 전자등록된 주식등을 말한다.
4. "Electronically registered stocks, etc." means stocks, etc. that have been electronically registered in an electronic registration account book.
5. "권리자"란 전자등록주식등의 소유자 또는 질권자, 그 밖에 전자등록주식등에 이해관계가 있는 자로서 대통령령으로 정하는 자를 말한다.
5. "Rights holder" means the owner or pledgee of electronically registered stocks, etc., and any other person prescribed by Presidential Decree who has an interest in electronically registered stocks, etc.
6. "전자등록기관"이란 주식등의 전자등록에 관한 제도의 운영을 위하여 제5조제1항에 따라 허가를 받은 자를 말한다.
6. "Electronic registration institution" means a person who has obtained permission under Article 5 (1) to operate the system of electronic registration of stocks, etc.
