상법 제341조의2(특정목적에 의한 자기주식의 취득)
Commercial Act, Article 341-2 (Acquisition of Own Shares for Specific Purposes)
회사는 다음 각 호의 어느 하나에 해당하는 경우에는 제341조에도 불구하고 자기의 주식을 취득할 수 있다.
Notwithstanding Article 341, a company may acquire its own shares in any of the following cases:
1. 회사의 합병 또는 다른 회사의 영업전부의 양수로 인한 경우
1. Where it results from a merger of the company or from the acquisition of the entire business of another company;
2. 회사의 권리를 실행함에 있어 그 목적을 달성하기 위하여 필요한 경우
2. Where it is necessary to achieve the purpose of exercising the rights of the company;
3. 단주(端株)의 처리를 위하여 필요한 경우
3. Where it is necessary to deal with fractional shares;
4. 주주가 주식매수청구권을 행사한 경우
4. Where a shareholder exercises the right to demand the purchase of his or her shares.
