상법 시행령 제22조(교환사채의 발행)

① 법 제469조제2항제2호에 따라 사채권자가 회사 소유의 주식(회사의 자기주식은 제외한다)이나 그 밖의 다른 유가증권으로 교환할 수 있는 사채(이하 "교환사채"라 한다)를 발행하는 경우에는 이사회가 다음 각 호의 사항을 결정한다. <개정 2026.7.21>

③ 교환사채를 발행하는 회사는 사채권자가 교환청구를 하는 때 또는 그 사채의 교환청구기간이 끝나는 때까지 교환에 필요한 주식 또는 유가증권을 한국예탁결제원에 예탁하거나 「주식ㆍ사채 등의 전자등록에 관한 법률」 제2조제6호에 따른 전자등록기관(이하 "전자등록기관"이라 한다)에 전자등록해야 한다. 이 경우 한국예탁결제원 또는 전자등록기관은 그 주식 또는 유가증권을 신탁재산임을 표시하여 관리하여야 한다. <개정 2019.6.25>

④ 사채의 교환을 청구하는 자는 청구서 2통에 사채권을 첨부하여 회사에 제출하여야 한다.

⑤ 제4항의 청구서에는 교환하려는 주식이나 유가증권의 종류 및 내용, 수와 청구 연월일을 적고 기명날인 또는 서명하여야 한다.
