Act on Electronic Registration of Stocks and Bonds, Article 21 (Opening of Issuer Management Accounts, etc.)

① 다음 각 호의 어느 하나에 해당하는 자는 전자등록기관에 발행인관리계좌를 개설하여야 한다.

1. 주식등을 전자등록의 방법으로 새로 발행하려는 자

2. 이미 주권(株券), 그 밖에 대통령령으로 정하는 증권 또는 증서(이하 "주권등"이라 한다)가 발행된 주식등의 권리자에게 전자등록의 방법으로 주식등을 보유하게 하거나 취득하게 하려는 자

② 제1항에 따라 발행인관리계좌가 개설된 경우 전자등록기관은 다음 각 호의 사항을 기록하여 발행인(제1항 각 호의 어느 하나에 해당하는 자로서 같은 항에 따라 발행인관리계좌를 개설한 자를 말한다. 이하 같다)별로 발행인관리계좌부를 작성하여야 한다.

③ 제2항에 따라 작성된 발행인관리계좌부에 기록된 전자등록주식등의 종목별 수량 또는 금액이 다음 각 호의 어느 하나에 해당하는 장부에 기재된 주식등의 종목별 수량 또는 금액과 다른 경우에는 그 장부에 기재된 수량 또는 금액을 기준으로 한다.

④ 발행인은 제2항 각 호의 사항이 변경된 경우에는 지체 없이 그 내용을 전자등록기관에 통지하여야 하고, 전자등록기관은 그 통지 내용에 따라 지체 없이 발행인관리계좌부의 기록을 변경하여야 한다.

⑤ 전자등록기관은 제4항에 따라 발행인관리계좌부의 기록이 변경된 경우에는 지체 없이 다음 각 호의 조치를 하여야 한다.
