채무자 회생 및 파산에 관한 법률 제263조(이사 등의 변경에 관한 특례)

①제203조의 규정에 의하여 회생계획에서 이사의 선임이나 대표이사의 선정을 정한 경우 이들은 회생계획이 인가된 때에 선임 또는 선정된 것으로 본다.

②제203조의 규정에 의하여 회생계획에서 이사의 선임이나 대표이사의 선정의 방법을 정한 때에는 회생계획에서 정한 방법으로 이사를 선임하거나 대표이사를 선정할 수 있다. 이 경우 이사의 선임이나 대표이사의 선정에 관한 다른 법령이나 정관의 규정은 적용하지 아니한다.

③제203조제4항의 규정에 의하여 법원이 감사를 선임하는 때에는 감사의 선임에 관한 다른 법령이나 정관의 규정을 적용하지 아니한다.

(3) Where웨어 the^ð더 court코트 appoints어포인츠 an앤 auditor오디터 under언더 Article아터클 203 (4), other어^ð더 statutes스태춧츠 or오 provisions프^r러^v비전즈 of어^v브 the^ð디 articles아터클즈 of어^v브 incorporation인코퍼^r레이션 concerning컨서닝 the^ð디 appointment어포인트먼트 of어^v브 auditors아더터즈 shall섈 not낫 apply.어플라이

④회생계획에서 유임할 것으로 정하지 아니한 이사 또는 대표이사는 회생계획이 인가된 때에 해임된 것으로 보며, 감사로서 제203조제4항의 규정에 의하여 감사로 선임되지 아니한 자는 법원이 제203조제4항의 규정에 의하여 감사를 선임한 때에 해임된 것으로 본다.

⑤제1항 및 제2항의 규정에 의하여 선임 또는 선정되거나 회생계획에 의하여 유임된 이사 또는 대표이사의 임기와 대표이사의 대표의 방법은 회생계획에 의하며, 제203조제4항의 규정에 의하여 선임된 감사의 임기는 법원이 정한다.
