근로복지기본법 제45조(비상장법인의 우리사주의 처분)

① 국가는 「자본시장과 금융투자업에 관한 법률」 제8조의2제4항제1호에 따른 증권시장에 주권이 상장되지 아니한 법인(이하 "비상장법인"이라 한다)인 우리사주제도 실시회사의 우리사주조합원이 우리사주를 불가피하게 처분하려는 경우 환금(換金)을 보장하기 위하여 주식의 거래 등에 관하여 필요한 조치를 하도록 노력하여야 한다. <개정 2013.5.28>

② 비상장법인인 우리사주제도 실시회사는 우리사주의 환금을 보장하기 위하여 필요한 경우 「상법」 제341조에도 불구하고 우리사주조합원 또는 퇴직하는 우리사주조합원의 우리사주를 자기의 계산으로 취득할 수 있다. 이 경우 취득한 주식은 다음 각 호의 방법으로 처분하여야 한다. <개정 2016.12.27>

③ 비상장법인인 우리사주제도 실시회사는 제2항에 따른 우리사주의 취득에 필요한 자금을 마련하기 위하여 매년 준비금을 적립할 수 있다. <개정 2016.12.27>

④ 비상장법인인 우리사주제도 실시회사는 우리사주조합이 해당 우리사주제도 실시회사를 대신하여 조합원계정의 우리사주를 매입할 수 있도록 우리사주조합기금에 출연할 수 있다. 이 경우 해당 우리사주제도 실시회사는 우리사주조합과 다음 각 호의 사항이 포함된 약정을 체결할 수 있다. <신설 2016.12.27>
