근로복지기본법 제45조의2(비상장법인의 우리사주 환매수)

① 비상장법인으로서 대통령령으로 정하는 규모 이상의 우리사주제도 실시회사(이하 이 조에서 "의무적 환매수 대상 회사"라 한다)의 우리사주조합원은 우리사주가 다음 각 호의 요건을 모두 갖춘 경우에는 의무적 환매수 대상 회사에 해당 우리사주의 환매수를 요청할 수 있다. 다만, 우리사주조합원은 정년퇴직, 그 밖에 대통령령으로 정하는 사유가 발생하는 경우에는 제2호에 따른 예탁기간과 관계없이 환매수를 요청할 수 있다. <개정 2020.5.26>

② 의무적 환매수 대상 회사는 우리사주조합원의 제1항에 따른 환매수 요청권이 적절하게 행사될 수 있도록 우리사주조합이 우리사주를 취득하기 전에 우리사주조합과 다음 각 호의 사항이 포함된 약정을 미리 체결하여야 한다.

③ 우리사주조합원은 제1항에 따른 환매수 요청권을 같은 항 제2호에 따른 예탁기간이 지난 날 또는 같은 항 각 호 외의 부분 단서에 따른 사유가 발생한 날부터 6개월 이내에 행사하여야 한다.

④ 의무적 환매수 대상 회사는 제1항에 따른 환매수 요청을 받은 날부터 30일 이내에 「상법」 제341조에도 불구하고 해당 우리사주를 자기의 계산으로 취득하여야 한다. 다만, 의무적 환매수 대상 회사의 경영악화 등으로 환매수를 하기 곤란한 사정이 있거나 우리사주에 대한 환금성이 확보되는 등 대통령령으로 정하는 사유가 있는 경우에는 대통령령으로 정하는 바에 따라 환매수 요청에 따르지 아니하거나 환매수 요청을 받은 날부터 3년의 범위에서 분할하여 환매수할 수 있다. <개정 2020.5.26>

⑤ 의무적 환매수 대상 회사는 제4항에 따라 취득한 우리사주를 제45조제2항 각 호의 어느 하나의 방법으로 처분하여야 한다.

(5) A어 company컴퍼니 subject서브젝트 to투 mandatory맨더토^r리 buyback바이백 shall섈 dispose디스포우즈 of어^v브 employee엠플로이이 stock스탁 acquired어콰이어드 under언더 paragraph패^r러그^r래^f프 (4) by바이 any에니 of어^v브 the^ð더 methods메^θ써즈 listed리스티드 in인 the^ð더 subparagraphs서브패^r러그^r래^f프스 of어^v브 Article아터클 45 (2).

⑥ 우리사주조합은 제4항에도 불구하고 의무적 환매수 대상 회사를 대신하여 제45조제4항 각 호 외의 부분 전단에 따른 우리사주조합기금에의 출연금으로 해당 우리사주를 매입할 수 있다.

⑦ 의무적 환매수 대상 회사가 제45조제4항 각 호 외의 부분 전단에 따라 우리사주조합기금에 출연한 경우에는 해당 출연금의 한도에서 제4항에 따른 해당 우리사주의 취득의무를 이행한 것으로 본다.
